1. Company Information
These terms are issued by Quantum Syndicate Ventures Ltd, a company registered in England & Wales (CRN 17110348), whose registered office is at the address filed with Companies House.
2. Services
We provide AI-powered compliance software, enterprise resource planning tools, and governance automation delivered as cloud-hosted SaaS and API services ("the Services"). Current products include ASTRAEA AML/KYC, FinOS ERP, and GovOS Compliance.
3. Subscriptions & Billing
Subscriptions are billed monthly via Stripe. Prices are listed on our pricing page. All prices are in GBP and exclude VAT unless stated otherwise. You may cancel at any time; cancellation takes effect at the end of the current billing period.
4. Free Trial
New subscriptions include a 14-day free trial. No charge is made until the trial ends. You can cancel during the trial at no cost.
5. Usage-Based Billing
API calls exceeding your plan allowance are billed at the overage rate for your tier: £0.50 / £0.25 / £0.10 per 1,000 additional calls for Starter / Professional / Enterprise respectively.
6. Acceptable Use
You agree not to: (a) use the Services for money laundering, terrorist financing, or any unlawful purpose; (b) reverse-engineer, decompile, or extract source code; (c) resell access without a written reseller agreement; (d) exceed documented rate limits intentionally.
7. Intellectual Property
All software, algorithms, models, dashboards, and documentation remain the exclusive property of Quantum Syndicate Ventures Ltd. Your subscription grants a non-exclusive, non-transferable licence to use the Services for the subscription term.
8. Data & Security
Customer data is processed in accordance with our Privacy Policy. We implement industry-standard security measures including encryption at rest and in transit, role-based access control, and audit logging.
9. Limitation of Liability
To the maximum extent permitted by law, our total liability under these terms shall not exceed the fees paid by you in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.
10. Governing Law
These terms are governed by the laws of England & Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England & Wales.
11. Changes
We may update these terms with 30 days' notice. Continued use of the Services after notice constitutes acceptance. Material changes will be communicated via email.
